Purpose
The purpose of this policy is to ensure that all employee of the Company perform the duties of their position with the highest level of integrity and professionalism while prioritizing the interests of the Company. In the normal course of business, employees may have the opportunity to advance their own personal or financial interests above the interest of the Company.
Any party who acts outside of the Company’s best interest or uses their knowledge or position within the Company to procure personal or financial benefits outside of their standard terms of employment are in violation of this policy. Failure to comply with this policy may result in disciplinary action up to and including termination.
This conflict of interest policy applies to all employees of the Company, Either Full-time or suppliers, and it appears to all employees involved in the business of the Company, E.g., Director, Contractor, Stakeholder, or Another party. All of these parties are expected to follow the provisions of this policy where it applies to them.
Hiring an unqualified relative to provide services your company needs
Starting a company that provides services similar to your full-time employer
Failing to disclose that you’re related to a job candidate the company is considering hiring
Making arrangements to work for a vendor or client at a future date while continuing to do business with them
Posting to social media about your company’s weaknesses
Offering paid services on your time off to a company customer or supplier
Working part-time at a company that sells a competing product or service as your full-time employer
Accepting payment from another company for information about your employer
Failing to investigate a subordinate or coworker’s wrongdoing because they are a friend
Sharing confidential information about your employer with a competitor
Dating or having a romantic relationship with a supervisor or subordinate
Making a purchase or business choice to boost a business that you have a stake in
Accepting a favor or a gift from a client above the amount specified as acceptable by the company
Owning part of a business that sells goods or services to your employer
Reporting to a supervisor who is also a close friend or family member
Doing business or work for a competitor
Accepting consulting fees and providing advice to another company for personal gain
Sharing information in an interview about your employer’s activities or plans
Taking advantage of confidential information learned on the job for your own benefit
Cashing in on a business opportunity that your company might have pursued
Employees participating in activities that render direct or indirect profit to a competitor
Employees using equipment supplied by the company to support an external business
Employees using equipment supplies by the company for personal use.
Employees acting in ways that may compromise the company’s legal standing (e.g. taking bribes or sharing confidential information).
Our Procedure
Duty to Disclose
All employees of the company are required to disclose any known, potential, or suspected conflicts of interest to their superiors as soon as said employees become aware of them. Failure to disclose potential or actual conflicts could lead to a range of disciplinary actions up to and including termination of employment.
Reviewing Potential Conflict
When a possible conflict of interest becomes known or is suspected, the employee’s supervisor will collect all of the relevant information and may question any involved parties. If the company determines that a conflict of interest exists or is likely to arise, steps will be taken to resolve the situation. If it is determined that no conflict exists, the inquiry may be documented, but no further action will be taken.
Disciplinary Action
All conflicts of interest will be reviewed on a case-by-case basis to determine the appropriate course of action. A review may result in no actions being taken, or it may result in disciplinary actions. The company has full discretion to deem what disciplinary action is both fitting and necessary, including potential suspension and/or termination of employment.
